Terms of Service

1. Acceptance of Terms

By accessing or using the Harvest Atlas platform and website (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Harvest Atlas is operated by Harvest Atlas Ltd. ("Harvest Atlas," "we," "us," or "our").

2. Description of Service

Harvest Atlas provides a B2B SaaS platform connecting international wineries, U.S. importers, distributors, and retailer trade buyers. The platform includes compliance tracking tools, producer discovery features, order and allocation management, and related services. Harvest Atlas is an infrastructure and connectivity platform; it does not buy, sell, import, export, or distribute alcoholic beverages on behalf of any party.

3. Eligibility

You must be at least 21 years of age and, where applicable, hold all required federal and state licenses to import, distribute, or sell alcoholic beverages in your jurisdiction. By using the Service, you represent that you meet these requirements.

4. Account Registration

You agree to provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hannah@harvestatlas.com if you suspect unauthorized access.

5. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local alcohol beverage laws and regulations, including but not limited to TTB regulations, state ABC requirements, and three-tier system obligations. You may not use the Service to facilitate any transaction that violates applicable law.

6. Compliance Data

Harvest Atlas provides compliance information as a reference and workflow tool only. Regulatory requirements change frequently. You are solely responsible for verifying the accuracy of compliance information and for ensuring your business activities comply with all applicable laws. Nothing in the Service constitutes legal advice.

7. Intellectual Property

All content, features, and functionality of the Service — including the platform architecture, compliance data model, producer profiles, and matching algorithms — are the exclusive property of Harvest Atlas Ltd. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without express written permission.

8. Confidentiality

Information shared through the platform — including winery pricing, importer license data, and allocation terms — is confidential to the parties involved. You agree not to disclose or misuse information accessed through the platform.

9. Payments and Subscriptions

Subscription billing is handled through Stripe. By subscribing, you authorize Harvest Atlas to charge your payment method on a recurring basis according to the plan you select. Subscriptions renew automatically unless cancelled. Annual prepayment plans are non-refundable after the first 30 days.

10. Limitation of Liability

To the fullest extent permitted by law, Harvest Atlas Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including any compliance penalties, lost business, or regulatory actions taken against you.

11. Termination

We reserve the right to suspend or terminate your account for violation of these Terms, failure to maintain required licensing, or conduct that we determine is harmful to the platform or its users.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Service after notice of changes constitutes acceptance of the updated Terms.
